Hello all!
I am planning on proposing to my girlfriend in mid/late February and then taking her on a 3-day weekend trip to Napa Valley to "celebrate" (wink wink). 
Even though I went to college in Berkeley and live in LA, I've never been to Napa before. Thus, I need recommendations for the following:
1) Hotel. Looking for a moderate/high-end, romantic hotel or B&B. Looking to spend $250/night or less. I would rather stay in Napa Valley than Sonoma Valley (since it will be our first time). A hotel with some sort of massage services is nice, but definitely not required.
2) Restaurants. She and I are serious foodies. I know of the great restaurants up there, but I also know some of these restaurants are EXTREMELY popular and are thus booked. Knowing this, are there any places you'd recommend? We like to stay away from the "heavy-sauce" French cooking...we like just about everything else.

We have enjoyed stays at the Yountville Inn, very nice inn with many amenities, they do not have a spa there, tho. This Spring we will be staying at the Villagio Inn & Spa, you may want to check their website for the romance packages, it sounds like a very nice place.
We have also enjoyed the Harvest Inn in the past, but may be a bit "old school" for you. Bistro Jeanty, Terra, Tra Vigne, Domaine Chandon are all great places for meals in Napa Valley. This year we will be trying Cindy's Backstreet Kitchen, Ad Hoc, Redd and Cyrus. I'll report back how it goes with these places after our trip! Good luck and have fun! ***kim***
We live in the area and have been to nearly every restaurant. I would say our meal at Auberge d' Soleil was the most romantic, beautiful and delicious. However, there are so many places to choose. Can you give an idea of what you have in mind for hotel and restaurant? One good resource is www.napavalley.com
Also, for something incredibly unique and special, contact Chef Max Duley at Peju Winery. He often arranges special private meals with food and ambiance to die for. www.peju.com
So many excellent restaurants, from $ - $$$$$! Casual to formal, and lots in-between.
Just got back from Meadowood. They just get it right every time . Romantic. Great service... execeptional food!
Meadowood is gorgeous, but not under $250/night.
CHeck out Indian Springs in Calistoga. The Lodge rooms are under $250 at this time of year. You might also look at Miliken Creek which is on the old part of the Silverado Trail.
