Can you recommend where to stay - downtown or Old Montreal - and why ?

It really depends what you want. Price range? Hotel or B & B?
Old Montreal is charming and romantic and touristy and has nice boutique hotels.
Downtown is livelier, has better access to shopping and museums and lots of restaurants. lots of good bigger hotels at a much better price than you would see in most big US cities, especially in the off season.
The Plateau is to us the most interesting of all but has fewer places to stay, mostly B & B's.
Wherever you stay, there is a good public transit system so it is quite easy to get around.
The tourist office runs a promotional program called Sweet Deals which has some good deals for multi-night stays.

I agree with Vttraveler. It really depends what you are looking for. Downtown = lively, night life, Plateau = more "authentic" neighborhood feel, great restaurants, etc., Old Montreal = historic, one-of-a-kind, a bit more remote with regards to public transport.
Here are a two nice spots:
Hotel Place-D'Armes (Old Montreal, very close to metro station)
Auberge de la Fontaine (Plateau area, between Mont-Royal metro and Sherbrooke metro, just in front of one of the most beautiful parks in town)

My preference has always been the plateau area, near Square St. Louis. For me, plateau is what Montreal is all about - fun byob restaurants, funky little shops, peaceful tree lined avenues, great bike trails, lots of nightlife, comfortable b&b's. However the downtown and Old Montreal are also great choices, and it's easy to get from one area to another.
